Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of Eduvisionary, the web-based business management platform provided to small businesses, freelancers, consultants, agencies, and other service-based businesses ("Eduvisionary", "we", "us", "our"), available at https://eduvisionary.co.uk (the "Platform"). By purchasing a package, creating an account, or otherwise using the Platform, you ("you", "the customer") agree to be bound by these Terms.
1. Introduction
These Terms should be read alongside Eduvisionary's other published policies, including the Privacy Policy and the Refund Policy, both of which are incorporated into these Terms by reference. Where these Terms and another published policy address the same subject in a conflicting way, the more specific policy on that particular subject should generally be treated as controlling, and customers are encouraged to contact Eduvisionary directly if anything is unclear.
If you do not agree to these Terms, you should not create an account or otherwise use the Platform. If you are agreeing to these Terms on behalf of a business or other organisation, you confirm that you have the authority to bind that organisation to these Terms, and references to "you" throughout this document refer to that organisation as well as to the individual accepting these Terms on its behalf.
2. What Eduvisionary Provides
Eduvisionary is a software-as-a-service platform that provides online business management functionality across four core areas: customer relationship management, project management, HR administration, and financial record-keeping. Through a single online dashboard, customers can manage customer records, leads, sales pipelines, follow-ups, and customer history; organise projects, tasks, deadlines, and team assignments; maintain employee records, leave information, onboarding details, and employee documents; and create invoices, record income and expenses, monitor payment status, and generate business reports.
Eduvisionary provides these functions as software tools intended to help customers manage information relating to their own businesses. The specific features and usage limits available to a particular customer depend on the package purchased, as described further below.
Eduvisionary is a software provider only. As set out in more detail later in these Terms, Eduvisionary does not provide accounting, tax, financial, investment, legal, payroll, or employer-of-record services, and does not hold or transmit customer funds on behalf of third parties.
3. Eligibility
To use Eduvisionary, you must be able to form a legally binding contract, whether as an individual acting in a business capacity or as a representative of a business or other organisation. The platform is intended for use by businesses and business professionals, and is not directed at, or intended for use by, children.
By creating an account, you confirm that all information provided during registration is accurate and complete, and that you will keep this information up to date as it changes over time.
4. Account Registration and Security
To use Eduvisionary, you will need to purchase a package and create an account. You are responsible for maintaining the confidentiality of your account credentials, including your password, and for all activity that occurs under your account, whether or not you were the person who carried out that activity.
You should notify Eduvisionary promptly if you become aware of any unauthorised access to, or use of, your account. Eduvisionary is not responsible for any loss or damage arising from your failure to keep your account credentials secure, though we will take reasonable steps to assist in investigating and addressing any reported unauthorised access.
Where an account is used by more than one person within a business — for example, where multiple employees of an agency access the same Eduvisionary account — the business remains responsible for managing which individuals have access, what level of access they are given, and for ensuring that its own internal use of the platform complies with these Terms.
5. One-Off Payment and Lifetime Access
Eduvisionary is sold as a single one-off payment for lifetime access — it is not a recurring subscription. Different packages provide different features and usage limits, and the specific features and limits available to your account depend on the package you purchase, or subsequently move up to.
Payments are processed securely through Stripe by card and, where available, by Bacs Direct Debit or Klarna. By completing checkout, you authorise us, through our payment processor, to collect the single one-off price shown for your selected package. We will not charge you again for that package: there are no renewals, billing periods, or automatic recurring payments. Where you pay by Bacs Direct Debit, the instruction is used to collect that single payment only. Where you pay with Klarna, any instalment arrangement is between you and Klarna.
Access to the platform is granted as soon as checkout is complete, including while a Bacs Direct Debit or Klarna payment is still clearing, which can take several days. If such a payment ultimately fails, is reversed, or is not collected, the purchase is treated as unpaid and we may suspend access until payment is made. Except as described in Eduvisionary's Refund Policy, including the 14-day money-back guarantee, the one-off payment is non-refundable.
"Lifetime access" means access to the package you purchased for as long as Eduvisionary continues to operate the platform, subject to these Terms, including the provisions on suspension and termination. Eduvisionary may change the prices of its packages from time to time; a price change applies only to new purchases and never results in a further charge for a package you have already bought.
6. Changing Package and Closing Your Account
You may move up to a higher package by contacting us, subject to the options available for your account. Any additional amount for moving up will be shown to you and charged as a single one-off payment at the time of the change. Because there are no ongoing charges, there is no need to downgrade or cancel to avoid future payments.
You may ask us to close your account at any time. Closing your account does not, on its own, entitle you to a refund of the one-off payment, except as described in Eduvisionary's Refund Policy. Customers who purchased a yearly subscription before Eduvisionary moved to one-off lifetime pricing may cancel future renewals of that subscription through the billing link in their account, and keep access until the end of the period already paid for.
7. Free Trials
Where Eduvisionary offers a free trial on a particular package or promotion, the trial allows you to explore the platform before any payment is made. Free trials are subject to any specific terms communicated at the time the trial is offered, including the trial's duration and what happens when the trial ends. A free trial never converts automatically into a paid purchase: payment is only taken if you choose a package and complete checkout.
8. Your Responsibilities as a Customer
You are responsible for the information you enter into Eduvisionary, including customer information, project information, employee information, invoices, income records, expense records, and any other business data you choose to store within the platform. You confirm that you have the right to enter this information into the platform, and that doing so does not infringe the rights of any third party or violate any applicable law.
You are responsible for ensuring that the information you enter is accurate, appropriate, and maintained in accordance with your own business and legal obligations. Eduvisionary provides tools to help you organise this information, but does not independently verify whether your records are accurate or compliant with any particular regulatory requirement that applies to your business.
You agree not to use the platform for any unlawful purpose, and not to use it in a way that could damage, disable, overburden, or impair Eduvisionary's systems, or interfere with any other customer's use of the platform. You agree not to attempt to gain unauthorised access to any part of the platform, to any account other than your own, or to any systems or networks connected to the platform.
You are responsible for obtaining and maintaining any equipment, software, and internet connectivity needed to access and use the platform, and for any costs associated with doing so.
9. Acceptable Use
In addition to the general responsibilities described above, you agree that you will not use Eduvisionary to store, transmit, or process any information that is unlawful, defamatory, infringing of a third party's intellectual property or other rights, or that violates the privacy or other rights of any individual, except to the extent that such information forms a legitimate part of your own business records and its inclusion is consistent with your own legal obligations.
You agree not to use the platform to send unsolicited communications in violation of applicable law, to introduce viruses, malware, or other harmful code into the platform, or to attempt to reverse engineer, decompile, or otherwise access the underlying source code of the platform except to the extent expressly permitted by applicable law notwithstanding this restriction.
Eduvisionary reserves the right, though is not obligated, to investigate and take appropriate action against any use of the platform that it reasonably believes violates these Terms, including suspending or terminating the relevant account, in accordance with the termination provisions described below.
10. What Eduvisionary Does Not Provide
Eduvisionary is a software provider, and these Terms are entered into on that basis. Eduvisionary does not provide, and nothing in these Terms or in the platform's functionality should be understood as providing, any of the following: accounting advice, tax advice, financial advice, investment advice, legal advice, payroll processing, employer-of-record services, or other regulated financial or professional services. Eduvisionary does not hold or transmit customer funds on behalf of third parties, and does not file tax returns on behalf of customers.
Where you require professional accounting, tax, financial, investment, legal, or employment advice, you should obtain that advice from an appropriately qualified professional. Nothing in the platform's invoicing, expense, reporting, or HR administration functionality is intended to substitute for such advice, and Eduvisionary accepts no responsibility for decisions made in reliance on the platform's functionality in place of appropriate professional advice.
11. Intellectual Property
Eduvisionary, including its software, design, features, trademarks, logos, and all related intellectual property, is owned by Eduvisionary or its licensors. These Terms grant you a limited, non-exclusive, non-transferable right to access and use the platform for your own internal business purposes, in accordance with these Terms and the package you have purchased. This licence does not grant you any ownership interest in the platform itself.
As between you and Eduvisionary, you retain ownership of the business data you enter into the platform, including customer records, project information, employee information, invoices, income and expense records, and other information you choose to store. By entering this information into the platform, you grant Eduvisionary a limited licence to host, store, process, and display that information as necessary to provide the platform's functionality to you, consistent with the Privacy Policy.
You agree not to copy, modify, distribute, sell, lease, or create derivative works based on the platform itself, except to the extent expressly permitted by these Terms or by applicable law notwithstanding this restriction.
12. Data Protection and Privacy
Eduvisionary's collection, use, and protection of information in connection with the platform is described in the Privacy Policy, which forms part of these Terms. By using the platform, you acknowledge that you have read and understood the Privacy Policy.
Where business data you enter into the platform includes personal information about your own clients or employees, you are responsible, as the controller of that information, for ensuring that your collection and use of it complies with applicable data protection law, consistent with the roles and responsibilities described in the Privacy Policy.
13. Service Availability
Eduvisionary aims to keep the platform available and operating reliably, but does not guarantee that the platform will be available at all times, or that it will be free from interruptions, errors, or delays. From time to time, access to the platform may be affected by scheduled maintenance, technical issues, or circumstances outside Eduvisionary's reasonable control.
Where reasonably practicable, Eduvisionary will provide advance notice of planned maintenance that is expected to affect availability. Eduvisionary is not liable for any loss or inconvenience arising from unavailability of the platform, except to the extent required by applicable law.
14. Changes to the Platform
Eduvisionary may, from time to time, modify, update, add to, or remove features of the platform, including in connection with changes to packages. Where a change is likely to materially reduce the functionality available to the package you purchased, Eduvisionary will endeavour to provide reasonable notice of the change where practicable.
Eduvisionary is not obligated to maintain or continue offering any particular feature indefinitely, and reserves the right to discontinue features or, in some circumstances, the platform as a whole, subject to reasonable notice to affected customers where practicable.
15. Suspension and Termination
Eduvisionary may suspend or terminate your access to the platform if you breach these Terms, including through non-payment (for example, a Bacs Direct Debit or Klarna payment that fails to clear), chargebacks, misuse of the platform, or violation of the acceptable use provisions described above. Where reasonably practicable, Eduvisionary will provide notice of the breach and a reasonable opportunity to remedy it before suspending or terminating your account, except in cases involving a serious breach, a security risk, or a legal requirement that necessitates more immediate action.
You may terminate your account at any time by contacting us, in accordance with the provisions on closing your account described earlier in these Terms.
Upon termination of your account, for whatever reason, your right to access and use the platform ends, and Eduvisionary may delete or anonymise your business data in accordance with its data retention practices as described in the Privacy Policy, following any applicable retention period. You are encouraged to export any business data you wish to retain before your account is terminated or access is otherwise discontinued.
Provisions of these Terms that by their nature should survive termination — including those relating to intellectual property, limitation of liability, and dispute resolution — will continue to apply after your account is terminated.
16. Warranties and Disclaimers
Eduvisionary provides the platform on an "as is" and "as available" basis. Except as expressly stated in these Terms or required by applicable law, Eduvisionary does not make any warranty, express or implied, regarding the platform, including any warranty of merchantability, fitness for a particular purpose, non-infringement, or that the platform will be uninterrupted, error-free, or completely secure.
Eduvisionary does not warrant that the platform's reporting, invoicing, or other functionality will meet every requirement of your particular business, or that your use of the platform will ensure compliance with any particular law or regulation applicable to your business. As described earlier in these Terms, you remain responsible for the accuracy and appropriateness of the business data you maintain within the platform, and for seeking appropriate professional advice where needed.
Nothing in these Terms is intended to exclude or limit any warranty or right that cannot lawfully be excluded or limited under applicable law, including, where applicable, statutory rights available to consumers.
17. Limitation of Liability
To the maximum extent permitted by applicable law, Eduvisionary's total liability to you arising out of or in connection with these Terms or your use of the platform, whether in contract, tort, or otherwise, will not exceed the total amount paid by you to Eduvisionary for your package.
To the maximum extent permitted by applicable law, Eduvisionary will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of business, loss of data, or loss of goodwill, arising out of or in connection with these Terms or your use of the platform, even if Eduvisionary has been advised of the possibility of such damages.
Nothing in these Terms is intended to limit or exclude liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded under applicable law.
18. Indemnification
You agree to indemnify and hold Eduvisionary harmless from and against any claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or in connection with your breach of these Terms, your misuse of the platform, or your violation of any applicable law or the rights of a third party in connection with your use of the platform or the business data you enter into it.
19. Third-Party Services and Integrations
The platform may support integrations with third-party services that you choose to connect to your account, and Eduvisionary's website or communications may occasionally reference or link to third-party services, such as Stripe for payment processing. Eduvisionary is not responsible for the practices, content, or performance of any third-party service, and your use of any such service is governed by that third party's own terms and policies, separate from these Terms.
Where you choose to connect a third-party integration to your Eduvisionary account, you do so at your own discretion, and you are responsible for reviewing and agreeing to that third party's own terms before doing so.
20. Force Majeure
Eduvisionary will not be liable for any failure or delay in performing its obligations under these Terms where that failure or delay results from circumstances beyond its reasonable control, including natural disasters, acts of government, labour disputes, internet or telecommunications failures, or failures of third-party service providers on which the platform depends.
21. Governing Law and Dispute Resolution
These Terms are governed by the laws of England and Wales, without regard to conflict of law principles, except to the extent that applicable law requires a different governing law to apply to you.
In the event of a dispute arising out of or in connection with these Terms or your use of the platform, we encourage you to contact Eduvisionary directly in the first instance, so that the matter can be discussed and, where possible, resolved informally. Where a dispute cannot be resolved informally, it will be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable consumer-protection law.
22. General
22.1 Assignment
You may not assign or transfer your rights or obligations under these Terms without Eduvisionary's prior written consent. Eduvisionary may assign or transfer its rights and obligations under these Terms, including in connection with a merger, acquisition, reorganisation, or sale of assets, subject to the business transfer provisions described in the Privacy Policy.
22.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it valid and enforceable, or, if it cannot be so modified, it will be severed from these Terms, and the remaining provisions will continue in full force and effect.
22.3 Entire Agreement
These Terms, together with the Privacy Policy, the Refund Policy, and any other terms specifically referenced within them or presented to you at the point of purchasing a particular package, constitute the entire agreement between you and Eduvisionary regarding your use of the platform, and supersede any prior agreements or understandings, whether written or oral, relating to the same subject matter.
22.4 No Waiver
Eduvisionary's failure to enforce any provision of these Terms at any particular time does not constitute a waiver of its right to enforce that provision, or any other provision of these Terms, at a later time. Any waiver of a provision of these Terms will only be effective if given in writing by Eduvisionary.
22.5 Survival and Interpretation
Headings used throughout these Terms are included for convenience only and do not affect the interpretation of any provision. Where these Terms use the words "including" or "such as," this should be understood as illustrative rather than limiting, unless the context clearly indicates otherwise. References to "writing" or "written notice" throughout these Terms include email communications, unless a specific provision states otherwise.
Where any provision of these Terms is expressed to survive termination of your account or these Terms more generally — including provisions relating to intellectual property, limitation of liability, indemnification, and dispute resolution — that provision will remain in effect according to its terms, notwithstanding the termination or expiry of the rest of these Terms.
22.6 Language
These Terms are provided in English. Where Eduvisionary provides a translated version of these Terms for convenience, the English version will govern in the event of any inconsistency between the translated version and the English original, to the extent permitted by applicable law.
23. Changes to These Terms
Eduvisionary may update these Terms from time to time, for example to reflect changes in the platform's functionality, changes in applicable law, or general changes in business practices. Where changes are made, the updated Terms will be published, along with an updated effective date. Where changes are significant, Eduvisionary will take reasonable steps to notify affected customers, such as by email notice or a notice within the platform itself, before the changes take effect.
Your continued use of the platform following the publication of updated Terms constitutes your acceptance of those updated Terms, to the extent permitted by applicable law. If you do not agree to updated Terms, you should stop using the platform and, where relevant, ask us to close your account as described above.
24. Notices
Eduvisionary may provide notices to you under these Terms by email to the address associated with your account, or by posting a notice within the platform itself. You are responsible for keeping your account's contact information up to date so that you continue to receive notices in a timely manner.
Notices to Eduvisionary should be sent through the contact channels published on the Eduvisionary website or within your account, and, where relevant to a specific matter such as a refund request or a data protection query, in accordance with the specific process described in the relevant policy.
25. How These Terms Apply to Different Types of Customers
Eduvisionary is used by a wide range of businesses, from individual freelancers working alone to larger agencies with several employees and multiple active client engagements. These Terms apply equally to all customers, regardless of size, but a few points are worth clarifying for different types of accounts.
Where you are a sole trader or freelancer using Eduvisionary primarily for your own individual business, you are personally responsible for compliance with these Terms in the same way a larger business would be, including responsibility for the accuracy of your own business data and for any activity that occurs under your account.
Where you are a business with multiple employees using a shared Eduvisionary account, the business itself is the customer for the purposes of these Terms, and is responsible for the conduct of everyone it permits to access the account, including ensuring that individual employees using the account are aware of, and comply with, the acceptable use provisions described above. Internal disputes between individuals within the same business about account access or use are a matter for the business to resolve internally, and Eduvisionary will generally take direction from whichever individual has administrative authority over the account.
Where you are an agency managing information on behalf of your own clients — for example, entering a client's project or financial information into your Eduvisionary account as part of delivering services to that client — you remain the customer for the purposes of these Terms, and you are responsible for ensuring that you have the appropriate authority and legal basis to enter your client's information into the platform, consistent with your own arrangements with that client.
26. Feedback
If you choose to provide feedback, suggestions, or ideas about the platform to Eduvisionary, whether through a support channel, a survey, or any other means, you agree that Eduvisionary may use that feedback to improve the platform without any obligation to compensate you, and without any obligation to treat the feedback as confidential, unless we have separately agreed otherwise with you in writing. You retain no ownership claim over any changes Eduvisionary makes to the platform based on feedback you provide.
27. Beta Features and Early Access
From time to time, Eduvisionary may make certain features available to customers on an early access, beta, or trial basis ahead of a wider release. These features are provided on an experimental basis and may not function as reliably as the platform's established functionality, may be changed significantly or withdrawn entirely without notice, and may be subject to additional terms communicated at the time they are made available.
Where you choose to use a beta or early access feature, you do so with the understanding that it may not yet meet the same standards of reliability as the rest of the platform, and Eduvisionary's liability in connection with such features, to the extent permitted by applicable law, is limited to the greatest extent possible under these Terms.
28. Export and Portability of Your Data
You are generally able to export the business data you have entered into Eduvisionary using the export functionality available within the platform, allowing you to retain a copy of your customer records, project information, employee records, invoices, and other business data outside of the platform itself. We encourage you to make use of this functionality periodically, and in particular before requesting a refund or if you anticipate closing your account, since your ability to access this information may be affected once your account is terminated and the applicable retention period described in the Privacy Policy has passed.
Eduvisionary aims to provide exports in commonly usable formats where practicable, but does not guarantee that exported data will be compatible with every third-party system you might wish to use it with afterward.
29. Usage Limits
Each package is subject to specific usage limits, which may include limits on the number of customer records, projects, employees, invoices, or other categories of business data that can be stored, as well as limits on the number of individual users who can access the account. The specific usage limits applicable to your account depend on the package you have selected, and are described in Eduvisionary's published package information at the time of purchase.
Where your usage approaches or exceeds the limits associated with your current package, Eduvisionary may notify you and provide the option to upgrade to a package with higher limits. Continuing to use the platform in a way that exceeds your package's usage limits without upgrading may result in restricted functionality until either your usage is brought back within the applicable limits or you upgrade to a package that accommodates your current usage.
30. Backups and Your Own Responsibility for Data
While Eduvisionary takes reasonable steps to maintain the reliability and integrity of the platform, including reasonable backup practices for the data it hosts, you remain responsible for maintaining your own independent copies of critical business information where the consequences of losing that information would be significant to your business. Eduvisionary recommends using the export functionality described above periodically as a matter of good practice, rather than relying solely on the platform as the only copy of your most important business records.
31. Communications About Your Account
By creating an account, you agree that Eduvisionary may send you communications relating to your account and purchase, including payment receipts, service updates, security notices, and changes to these Terms or Eduvisionary's other policies. These operational communications are a necessary part of providing the platform and are not treated as optional marketing communications, which are addressed separately in the Privacy Policy.
32. Relationship Between the Parties
These Terms do not create any partnership, joint venture, agency, or employment relationship between you and Eduvisionary. Eduvisionary provides the platform as an independent software provider, and nothing in these Terms should be understood as creating any other kind of relationship between the parties, including any relationship that would make Eduvisionary responsible for your business's own operations, employment decisions, financial affairs, or compliance obligations beyond the specific role Eduvisionary plays in providing the platform itself.
33. Questions Before You Buy
If you have questions about how these Terms apply to your specific business circumstances before purchasing Eduvisionary — for example, questions about which package is appropriate for your business's size, or how a particular feature works in practice — you are encouraged to contact Eduvisionary through the channels described below before completing your purchase, so that you can make an informed decision about whether the platform, and the specific package you are considering, are right for your business.
34. Contact Us
Questions about these Terms should be directed to Eduvisionary through the contact details published on the Eduvisionary website or provided within your account. Questions relating specifically to payments or refunds should be directed in accordance with the process described in Eduvisionary's Refund Policy, and questions relating specifically to data protection or privacy should be directed in accordance with the process described in Eduvisionary's Privacy Policy.
35. Summary
By using Eduvisionary, you agree to these Terms, which govern your purchase, your use of the platform, and the respective responsibilities of you and Eduvisionary in connection with that use. Eduvisionary provides the software platform and the functionality described within it; you remain responsible for the business data you enter, for your own compliance obligations, and for seeking appropriate professional advice where your business circumstances require it. These Terms, together with the Privacy Policy and Refund Policy, are intended to set out that relationship clearly, so both parties have a shared, straightforward understanding of how the platform is provided and used.
